Terms of Service

Acceptance of terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Marvonix Technologies Pvt. Ltd. ("MailTantra", "we") governing your access to and use of the MailTantra platform and all related services (the "Service").

By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

If you do not agree to these Terms, do not use the Service.

Accounts & eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. The Service is intended for business use only.

• —You are responsible for maintaining the security of your account credentials.
• —You must promptly notify us at security@mailtantra.ai of any suspected unauthorised access.
• —You are responsible for all activity that occurs under your account.
• —You may not share login credentials or allow more users than your plan permits.
• —Each account is for a single legal entity. Agencies may manage multiple client workspaces from one account.

Acceptable use policy

You agree not to use the Service to:

• —Send spam, unsolicited bulk email, or any communication that violates CAN-SPAM, GDPR, CASL, or any other applicable anti-spam law.
• —Send emails promoting illegal products, services, or activities.
• —Harass, threaten, or intimidate any person.
• —Distribute malware, phishing content, or other malicious material.
• —Scrape, reverse-engineer, or attempt to extract proprietary data or source code.
• —Resell, sublicense, or white-label the Service without our written permission.
• —Circumvent any rate limits, access controls, or security measures.
• —Use the Service in a way that degrades performance for other users.

We reserve the right to suspend or terminate accounts that violate this policy without refund.

Subscriptions & billing

The Service is offered on a subscription basis. Billing occurs monthly or annually based on your selected plan.

• —Subscriptions auto-renew unless cancelled before the next billing period.
• —All fees are exclusive of taxes, which may be added based on your jurisdiction.
• —We use Stripe to process payments. Payment card data is never stored on our servers.
• —If a payment fails, we will retry for 7 days and notify you. After 7 days, your account may be suspended.
• —Annual plans are billed upfront. Downgrades take effect at the next renewal date.
• —Upgrading takes effect immediately; you will be charged a prorated amount for the remainder of the current period.

Intellectual property

MailTantra and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. Nothing in these Terms grants you ownership of any part of the Service.

You retain full ownership of all content you create or upload to the Service, including lead lists, email copy, and campaign configurations. By using the Service, you grant MailTantra a limited licence to process your content solely to provide the Service to you.

The MailTantra name, logo, and product marks are trademarks of Marvonix Technologies Pvt. Ltd. You may not use our trademarks without prior written consent.

Confidentiality

Each party agrees to keep the other party's confidential information private and not to disclose it to third parties without prior written consent, except as required by law.

Confidential information includes pricing not publicly listed, non-public product roadmap details, and any data marked or reasonably understood to be confidential.

Warranties & disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL EMAILS WILL REACH THE INTENDED INBOX. DELIVERABILITY DEPENDS ON FACTORS OUTSIDE OUR CONTROL INCLUDING RECIPIENT MAIL SERVERS AND SPAM FILTERS.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAILTANTRA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination

You may terminate your account at any time from the Settings page. Termination takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if required by law. In cases of serious violations, we may terminate without prior notice.

Upon termination, your access to the Service ceases. You may export your data up to 30 days after termination; after that, data is permanently deleted per our retention policy.

Governing law & disputes

These Terms are governed by the laws of India. Any dispute arising under these Terms shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration in Bangalore, India under the Arbitration and Conciliation Act, 1996.

Nothing in this clause prevents either party from seeking emergency injunctive relief from a competent court to protect intellectual property or confidential information.

Changes to these terms

We may modify these Terms at any time. Material changes will be communicated via email and an in-app banner at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.
